These Terms and Conditions ("Agreement") govern your engagement with Budi Pakar ("we", "us", "our") for consulting services provided from our office at 26, Jalan Raja Chulan, 50200 Kuala Lumpur, Malaysia. By contacting us, scheduling a session, or making payment, you agree to the terms set out below.
We have written these terms to be clear and fair. If anything is uncertain, you are welcome to reach us at [email protected] before proceeding.
1. Definitions
- "Service"
- Any consulting session, review, or ongoing arrangement offered by Budi Pakar, including Counsel Session, People and Roles Review, and Trusted Companion.
- "User" / "Client"
- Any individual or business representative who engages with or purchases a Service from Budi Pakar.
- "We / Us / Our"
- Budi Pakar, the consulting practice operating from 26, Jalan Raja Chulan, 50200 Kuala Lumpur.
- "Content"
- All written summaries, session notes, reports, and materials produced by Budi Pakar in the course of delivering a Service.
- "Agreement"
- These Terms and Conditions, along with any written engagement confirmation or invoice exchanged between us.
2. Acceptance of Terms
By submitting a contact request, confirming a session, or making a payment, you acknowledge that you have read and agree to these terms. If you are acting on behalf of a business, you represent that you have the authority to bind that business to this Agreement.
- You must be at least 18 years of age to engage our services.
- You confirm you have the legal capacity to enter into this Agreement.
- Corporate clients confirm the authorising representative has the necessary mandate.
3. Service Description
Budi Pakar offers business consulting services to small business owners in Malaysia. Our current service offerings are:
Counsel Session — RM 350
A single advisory session with a written recap note. Scope is limited to one session of up to 90 minutes.
People and Roles Review — RM 820
Two sessions held across five weeks, with a written summary of observations and options. Scope is confined to team structure and role clarity.
Trusted Companion — RM 1,530 / month
A twelve-month ongoing arrangement with monthly meetings, quarterly summaries, and reachable support between sessions. Requires a twelve-month commitment.
Services are delivered in person or via video call from our Kuala Lumpur base. We may adjust delivery format by mutual agreement. Geographic restrictions do not currently apply to video-based sessions.
4. User Responsibilities
To allow us to work together effectively, we ask that you:
- Provide accurate and complete information about your business situation.
- Attend scheduled sessions at the agreed time, or give at least 48 hours' notice to reschedule.
- Keep session times and content confidential where requested.
- Use our services and any Content only for your own internal business purposes.
- Not misrepresent our advice or our relationship in any public communication.
Prohibited activities include using our services or Content for unlawful purposes, reselling or redistributing session notes without permission, or recording sessions without prior written consent.
5. Intellectual Property
All methodologies, frameworks, templates, and written Content produced by Budi Pakar remain the intellectual property of Budi Pakar unless explicitly assigned in writing. We grant you a limited, non-exclusive, non-transferable licence to use any Content we deliver for your internal business purposes only.
You may not reproduce, distribute, or adapt our Content for external publication or commercial resale without written permission. Business information that you share with us during sessions remains your property; we will not use it beyond the scope of delivering your Service.
6. Payment Terms
- All fees are stated in Malaysian Ringgit (MYR/RM) and are inclusive of any applicable taxes unless stated otherwise.
- Payment is required prior to or upon commencement of the relevant session, unless a separate arrangement has been agreed in writing.
- Accepted payment methods will be confirmed at the time of booking.
- For the Trusted Companion arrangement, monthly fees are due at the start of each calendar month.
Refund policy:
- Cancellations with more than 48 hours' notice: full refund of any prepaid amount.
- Cancellations with less than 48 hours' notice: a rescheduling fee of RM 80 applies; the balance may be applied to a future session.
- Sessions already delivered are non-refundable.
- Trusted Companion: cancellation after the first month forfeits the current month's fee. Sessions already held are non-refundable.
7. Service-Specific Terms
Session Delivery
Sessions run for approximately 60–90 minutes. We will notify you if we anticipate running significantly over time. Written deliverables (recap notes, summaries) are provided within five working days of the session unless otherwise agreed.
Scope and Changes
The scope of each service is as described above. Requests to broaden scope significantly may require a separate engagement. We will always discuss this with you before proceeding.
Confidentiality
We treat all business information shared with us as confidential. We will not disclose your information to third parties except where required by Malaysian law. We expect the same care from you regarding any proprietary approaches we share.
8. Disclaimers
Budi Pakar provides consulting perspectives and options for your consideration. We do not offer legal, accounting, or regulated financial advice. Our observations reflect the information available to us at the time of the session and are not a substitute for professional advice in those regulated fields.
Services are provided as delivered — we make no representation that any particular business outcome will follow from engaging us. Business decisions remain yours to make at your own discretion.
We are not responsible for outcomes arising from your choice to act or not act on any perspective we share.
9. Limitation of Liability
To the extent permitted by Malaysian law, Budi Pakar's total liability to you under this Agreement shall not exceed the total fees paid by you in the three months preceding the relevant claim.
We shall not be liable for any indirect, consequential, or incidental loss, including lost revenue, lost contracts, or reputational damage, arising from or in connection with our services, however caused.
Events outside our reasonable control — including illness, force majeure, or infrastructure failure — may result in rescheduling. We will give you as much notice as possible and will not charge cancellation fees in such circumstances.
10. Indemnification
You agree to indemnify and hold Budi Pakar harmless against any claims, costs, or losses arising from your breach of this Agreement, your misuse of our Content, or any misrepresentation you make to third parties about our services or advice.
11. Termination
Either party may end a single-session or limited engagement by giving written notice before the scheduled session. For the Trusted Companion arrangement, either party may terminate with 30 days' written notice after the first month.
We reserve the right to decline or discontinue services if a client's conduct is disrespectful, if material information has been withheld, or if continuing would create a conflict of interest.
Upon termination, any outstanding fees for sessions already delivered remain payable. Confidentiality obligations and intellectual property terms survive termination.
12. Dispute Resolution
This Agreement is governed by the laws of Malaysia. In the event of a disagreement, we encourage direct contact first. Most concerns can be resolved with an honest conversation.
If a matter cannot be resolved informally within 30 days, either party may refer it to mediation through the Malaysian Mediation Centre before pursuing formal legal proceedings.
You agree that the courts of Kuala Lumpur, Malaysia have jurisdiction over any dispute that proceeds to litigation.
13. General Provisions
- Entire Agreement: This Agreement and any written engagement confirmation constitute the full understanding between us.
- Severability: If any provision is found unenforceable, the remaining terms continue in full effect.
- Waiver: Our failure to enforce any provision does not waive our right to enforce it in future.
- Assignment: You may not transfer your rights under this Agreement without our written consent.
- Notices: Written notices may be sent by email to [email protected] or by post to our registered address.
14. Changes to Terms
We may update these terms from time to time. Where changes are material, we will notify active clients by email at least 14 days before the update takes effect. The current version will always be available on this page with the Last Updated date shown above.
Continuing to engage our services after changes take effect constitutes acceptance of the revised terms. If you do not agree to an update, you may end the arrangement as described in Section 11.
